An international PE fund acquired control over a mid-sized Russian manufacturer . New shareholders required an establishment of manageable corporate governance mechanisms as well as clear KPIs and motivation system for the company.
MCG designed several options for the key mechanisms of corporate governance (including Board of Directors charter, decision making matrix split, key sets of responsibilities for top management and executive board). After the preferred design was selected during a shareholders’ workshop, MCG concentrated on setting up KPIs for the BD members and management team.
