The aim of corporate governance is to ensure the alignment of all stakeholders, from clients and employees to shareholders. Adequate corporate governance means that all corporate bodies (Board of Directors, managers, creditors, regulators, etc) are provided with enough information to make timely decisions according to assigned rights and responsibilities.
We work with clients on:
Current corporate governance structure evaluation. MCG will start by reviewing corporate governance documentation (e.g. charters, responsibilities matrixes etc). Next, MCG will interview representatives of all stakeholders. Finally, based on experts interviews and a best practices analysis, MCG team will synthesize all the collected information into recommendations on how the current corporate governance structure could be improved. Are all the corporate bodies in place? Does the company really need so many interaction events with the shareholders? Do regulators really require such detailed reports? Finally, the MCG team will work on optimal corporate governance design and the plan of transformation.
Design and redesign of the existing corporate governance structure. At a time when a new corporate governance structure is necessary (e.g. new shareholders on board, IPO, large investments, etc) the MCG team will deploy experts and industry benchmarks to recommend best suitable design for our Clients. While designing your corporate governance structure, MCG will clearly identify each corporate governance body roles and responsibilities, propose dividends policies, and ensure robustness and sustainability of business processes.
